Merger and acquisition transactions (M&A Transactions)

  • We offer so-called pre-transaction support, which may include a legal review of the situation of the sold or purchased entity in order to identify potential risks and issues that should receive special attention at the decision-making stage or during negotiations;
  • We advise on the structure and model of the transaction and provide support in obtaining its financing;
  • We prepare transaction documentation, e.g. letters of intent, agreements between shareholders, contracts for the sale of shares or the enterprise or its organised part, required resolutions of the bodies of the companies involved in the process;
  • We assist in obtaining the relevant approvals and permits;
  • We provide active support in negotiations related to the implementation of the transaction and participation in the signing and closing of the transaction.
